Bylaws of the Tall Club of Salt Lake

Adopted TBD 1999

Article I. Name and Purpose

The name of this non-profit organization is the TALL CLUB OF SALT LAKE, also referred to as TCSL, whose purpose is to further social relationships between men and women of above average stature and to promote better living conditions for them.

Article II. Membership

Section 1. Classes

A. Regular Membership

To be a Regular member of TCSL, an individual must meet the following requirements:

  1. Height shall be no less than 5'10" for women and 6'2" for men. Measurements must be taken in stocking feet with unadorned heads. For individuals who are unable to stand to their full height due to medical or other reasons, the measure from fingertip to fingertip of outstretched arms will be accepted. At least one club director must be present during the measurement.
  2. Voted in by two-thirds of TCSL members attending a business meeting
  3. Reached 21 years of age
  4. Attended one TCSL event.
  5. Paid dues as specified in Section 3

B. Associate Membership

Spouses of TCSL members in good standing that do not meet the height or age requirements may become associate members.

C. Honorary Membership

An honorary member shall be a person who has gained the respect TCSL for promoting tall awareness and helping TCSL even though they may not meet the height requirements. Honorary members are recognized a passing a vote of a simple majority of the Board. Honorary members are not members of TCI and do not pay TCI dues. Honorary members do not have voting rights, are not be allowed to hold office, and must have written permission from the TCI Executive Board to attend TCI functions. Honorary members shall not constitute more than five (5) percent of the local club's membership.

D. Life Membership

A Regular member may become a Life member on approval of two-thirds of membership of TCSL and by paying the fee defined in section 3. Life memberships can be awarded for merit by the membership without payment of the fee. All references to Regular membership hereinafter also refer to Life members.

E. Charter Membership

Any person who is a Regular or Associate member as of December 31, 1999, is Charter member as long as they have paid the full yearly membership dues (not prorated).

Section 2. Benefits and Privileges

A. Regular Membership

Each Regular member in good standing is entitled to:

  1. Vote in all business meetings and elections;
  2. Be a candidate for any club office defined in Article 3;
  3. Automatically become a member of Tall Clubs International (TCI) and receive all the benefits and privileges thereof,
  4. Receive a monthly newsletter which lists all club functions for the month;
  5. Receive a membership roster (members may request to exclude their addresses, phone numbers or any other information from this list);
  6. Attend any TCSL event at member prices.

B. Associate Membership

Associate membership may not vote nor hold office in TCSL without the express approval of the Board of Directors. Participation in TCI is defined by the appropriate TCI Bylaws. All other benefits and privileges of Regular members apply to Associate members.

C. Honorary Membership

Honorary members will be sent the newsletter and may attend TCSL events at Regular member prices. No other benefits or privileges apply.

Section 3. Dues and Fees

A. Membership Dues

To insure the financial viability of TCSL, the Board may modify (two-thirds majority) the yearly membership fees are shown in the Addendum. Changes to the dues must be made no later than September of a given year with the new rate starting in January of the next year.

Membership fees are due at the first of the year. Individuals who join during the course of the year pay a prorated fee of one-tenth of the yearly fee times the numbers of months remaining in the year. During the last three months of the year, the person must pay the prorated fee plus next year's membership fee in full.

Married couples shall pay dues of one-and-one-half times an individual membership.

Charter members pay the yearly fee as shown in the addendum even if their membership has lapsed in the past.

Associate members pay the same fees as Regular members.

Honorary members pay no dues or fees.

Life members must pay a one-time fee equal to 10 times the regular membership. This is a one-time charge and future changes in dues do not impact life members.

Members must pay all costs to TCSL associated with a returned check or any other payment.

B. Newsletter subscriptions

Subscriptions to the TCSL newsletter are available at $18 per year to members of TCI. Otherwise, subscription fees are equal to the cost of a Regular membership. All subscription fees are prorated exactly like Regular membership fees.

C. Renewal

All regular memberships and subscriptions are automatically renewed on receipt of payment of dues before March 31st of each year. The deadline may be extended at the discretion of the Board.

Associate and Honorary membership renewal must be approved by a majority vote of the membership at a business meeting each year in addition to the payment of dues.

Life memberships do not require a renewal.

D. Event Prices

Charges for TCSL events shall be set by the Board and must be published in the newsletter for each event. Non-members must pay at least two dollars more than members. Directors, Miss Tall TCSL and Mr. Tall TCSL may attend for two dollars unless otherwise specified by the Board.

Section 4. Termination of Membership

A. Non-renewal of dues

Failure to pay dues specified in Section 3 by the stated deadline is automatic grounds for termination. Former members may regain their former membership status by paying as specified in Section 3.

B. Cause

The Board may terminate membership in TCSL for cause. The fact of termination must be published in the TCSL newsletter. No membership dues will be refunded to the terminated member. The terminated member may appeal at a business meeting for which that subject has been announced at least one month in advance. Successful appeals require a two-thirds vote of the members present at that meeting. The terminated member may not vote.

Article III. Board of Directors

Section 1. Powers

A. Duties

TCSL directors may conduct, control and manage the affairs of the club in accordance with The Articles of Incorporation, Bylaws and the Laws of the State of Utah.

B. Interpretation of Bylaws

In case of conflicts or disagreements concerning the Bylaws of TCSL, the decision of the Board of Directors shall be the governing rule.

C. Appeal of Board Decisions

The regular members have the right to appeal a decision of the Board at any business meeting called for that purpose. Two thirds of the regular members in attendance must vote to repeal a Board decision.

Section 2. Structure

A. Officers.

There shall be three permanent directorships or officers in the TCSL.

  1. The President shall have the general responsibility for seeing that the duties and functions of the Directors are carried out and shall preside at all meetings of the Board and any TCSL business meeting.
  2. The Treasurer shall be the custodian of all assets of the TCSL. The Treasurer shall carry out all powers vested in the President in the event of the President's absence.
  3. The Secretary shall be responsible for handling all the necessary correspondence and shall take minutes at all Board or business meetings.

B. Other Directors

The Board of Directors must have at least four at-large directorships. The Board will assign the duties of these directors as they see fit.

Section 3. Conditions

A. Election

Directors must be nominated at a November business meeting and elected at a December business meeting by a majority vote of those members in attendance. Candidates for permanent offices must be nominated and voted on specifically for those positions. There shall be no limit to the number of nominations, which can be made by any regular member.

Absentee ballots will be accepted, if received by the President by said business meeting. Voting will be done by secret ballot, if there is more than one candidate.

B. Eligibility

All regular members are eligible to hold any TCSL office. Associate members may only hold office on the express approval of the Board of Directors.

C. Term

The term of office is one calendar year, form January 1 to December 31.

D. Adding Directors

During the year, the board may add more directors by a majority vote.

E. Removal from the Board

Any director may be removed from office for failure to perform required duties by a majority vote of Regular members present at a business meeting called for that purpose.

F. Resigning

A director may resign from a position by notifying the President in writing. If the President resigns, then written notification shall be made to each member of the Board.

G. Filling Vacancies

Vacancies by expulsion, resignation or otherwise must be reported in the newsletter. A vacancy may be filled immediately by the Board but is subject to approval by the majority of members at the next business meeting for which that vote can be announced.

Article IV. Meetings

Section 1. Board of Directors

A. Meeting Times

The President or any three directors may call meetings of the Board of Directors at any time. Notification shall be given to all directors at least one week in advance of the meeting. The Board is required to meet in January, after elections, at the earliest possible date.

B. Quorum

A majority of the directors shall constitute a quorum. No business transactions may occur without a quorum.

Section 2. Business Meetings

A. Meeting Times

The members shall meet in a business meeting at least once every month. All business meetings must appear in the newsletter at least one week before they occur.

B. Attendees

All business meetings are open to all membership classes, prospective members, or those guests approved by the Board.

C. Quorum

Regular members present at a business meeting shall constitute a quorum for the transaction of business.

D. Meeting Rules

All meetings shall be governed by Parliamentary Law.

Article V. Club Dissolution

Section 1

TCSL may vote to dissolve itself at any business meeting called for that purpose. There must be a two-thirds vote of both the Board and the Regular members present.

Section 2

Upon dissolution of TCSL, the funds and property of TCSL shall be given to TCI to help organize new clubs.

Article VI. Amendments

Section 1

The Bylaws may be amended at any business meeting called for that purpose. Amendments shall be passed by a majority vote of regular members in attendance, except those concerning the dissolution of TCSL, which require a two-thirds vote.

Section 2

In case of emergency, the Board of Directors may make temporary amendments to the by laws by a majority vote. Said emergency amendments to be effective for no longer than thirty days at which time they become null and void. All such amendments must be published in the newsletter.

Article VII. Addendum

The Board, by two-thirds majority, may modify items in the addendum. They are contained in the bylaws to provide stability and general guidelines from one year to the next.

Section 2 Electronic File Formats

The Cub will generate and maintain all documents and records in the formats listed below. It is very important that all files be generated and maintained in these formats to insure data integrity and smooth transitions from year to year.
